General

By accessing and using PadelO2's website, services, and platform (collectively, "Services"), you expressly agree that you have read and agreed to be bound by the following terms and conditions (the "Terms") as well as all applicable laws and regulations, and any future updates. You also agree that you are 18 years or older and legally able to enter into a binding contract.

Unless otherwise specified, terms used below have the following meanings:

These Terms and any policies incorporated in these Terms contain the entire agreement between you and PadelO2 regarding access to or use of the Services and supersedes any prior or contemporaneous agreements, communications, or understandings between you and PadelO2 on that subject.

No agency, partnership, joint venture or other relationship is intended or created by your access to or use of the Services.

You may not assign or delegate any rights or obligations under these Terms. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.

1. Privacy Statement

We are committed to protecting your privacy. Our Privacy Policy explains how we collect, use and disclose personal information you provide to us when you access and use the Services.

You acknowledge that PadelO2 may process personal data relating to the operation, support, or use of our Services for our own business purposes, such as billing, account management, data analysis, technical support, product development, and compliance with law.

2. License to Use the Services

We grant you a non-exclusive right to access and use the Services in accordance with these Terms. PadelO2 retains all right, title, and interest in and does not agree to any transfer of title regarding the Services. You must maintain the security of your account and promptly notify us if you discover or suspect that someone has accessed your account without your permission.

You will be responsible for all usage under your account whether or not it is authorized by you.

Notwithstanding the foregoing, you may not:

• Download, modify, copy, distribute, transmit, display, perform, reproduce, duplicate, publish, license, create derivative works from, or offer for sale any of our proprietary technology that makes up or is included in the Services, except as expressly permitted in these Terms.
• Submit, transmit, display, perform, post or store any content that is inaccurate, illegal, unlawful, defamatory, obscene, sexually explicit, pornographic, violent, invasive of privacy or publicity rights, harassing, threatening, abusive, inflammatory, harmful, hateful, cruel or insensitive, deceptive, or otherwise objectionable.
• Use the Services for bullying, disruptive purposes, or in a manner that violates our policies and standards, or otherwise use the Services in a manner that is fraudulent, inciting, organizing, promoting or facilitating violence or criminal or harmful activities.
• Duplicate, decompile, reverse engineer, disassemble or decode the Services (including any underlying idea or algorithm), or attempt to do any of the same.
• Use cheats, automation software (bots), hacks, modifications (mods) or any other unauthorized third-party software designed to modify the Services.
• Attempt to gain unauthorized access to, interfere with, damage or disrupt the Services, accounts registered to other users, or the computer systems or networks connected to the Services.

3. User Content

You retain ownership of any content you submit, post, or display on or through the Services ("User Content"). By submitting User Content, you grant PadelO2 a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such User Content for the purpose of operating and providing the Services.

You represent and warrant that you have all necessary rights, licenses, and permissions to grant the license described above and that your User Content does not violate any third-party rights, including intellectual property rights, privacy rights, or publicity rights.

PadelO2 reserves the right to remove any User Content that violates these Terms or is otherwise objectionable in our sole discretion.

4. Payment and Billing

If you purchase any paid Services, you agree to pay all fees associated with such Services. All fees are non-refundable unless otherwise stated in writing.

You are responsible for providing accurate billing information. If payment is not received or is declined, we may suspend or terminate your access to the Services.

Prices for Services may change at any time, but changes will not affect fees for Services already purchased.

5. Intellectual Property

The Services, including all content, features, and functionality, are owned by PadelO2 and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not use our trademarks, service marks, trade names, logos, or other proprietary designations without our prior written consent.

6. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive termination.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

PadelO2 does not warrant that the Services will be uninterrupted, secure, or error-free, or that defects will be corrected.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PADELO2 BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PADELO2'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO PADELO2 IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY.

9. Indemnification

You agree to indemnify, defend, and hold harmless PadelO2, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your User Content, or your violation of these Terms.

10. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration organization.

You and PadelO2 agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Effective Date" at the top of this page.

Your continued access or use of the Services after the modifications have become effective will be deemed your acceptance of the modified Terms. If you do not agree to the changes, you must stop using our Services.
